**Job Description Summary**

Project finance lawyer for developed and developing markets



**Job Description**



Role supports Energy Financial Services (EFS) on project finance transactions. Primary focus on renewable, hybrid and gas power project finance deals, including mid-to-late stage development and project documents connected with the project. Role will report to EFS General Counsel. Exposure to developed and developing market deals, including DFIs, ECAs, PRI coverage and multilateral development banks, and support for initiatives such as energy transition and renewable fund platforms. Provide advice, counsel, structuring, negotiation and drafting on sophisticated transactions in the project finance energy field. Deals will likely be spread across Europe, Asia, Middle East and Africa.



**Qualifications/Requirements**



Qualified solicitor in England and Wales or equivalent commonwealth common law jurisdiction



8+ proven years of post-qualification experience in relevant area based on experience at a large law firm, ECA, DFI, financial services firm or large corporate legal department



Energy industry experience with particular experience in project finance debt documentation, project transactional documents as well as intra-sponsor transactions including JDAs and SHAs for power and energy deals



Experience in both developed markets and developing markets, with equity sponsors, commercial banks, DFIs, ECAs, multilateral development banks and PRI coverage providers



Demonstrated excellent verbal and written communication and negotiation skills



Ability to manage multiple transaction and portfolio matters within a high-paced environment, and to prioritize conflicting demands from large and diverse client base



Ability to function independently and effectively as a member of both business teams and the assigned legal organization



**Desired Characteristics**

Prior experience in large law firm or in- house legal department

Established ability to influence decisions and build consensus between counterparties and within the deal team, with a proven ability to build relationships within a matrixed environment (both cross functionally and cross-business)

Excellent communication skills written and oral

Strong interpersonal skills able to effectively interact with senior management

Proven leadership and business partnering skills

Experience leading successful negotiations

Proven success and ability to set priorities and drive projects to conclusion.

Demonstrated ability to think and lead on a strategic level within an organization

Experienced within financial services, including an interest and professional curiosity to understand all facets of power projects.

**Essential Responsibilities**



EFS may invest throughout the power project spectrum, including thermal, hybrid and renewable power generation and across all capital structures including debt, sub-participations, structured and common equity, and development funding. Projects may also involve third party debt and associated security structures which may include DFIs, export credit agency lenders, PRI coverage providers and multilateral development banks.

The lawyer retained for such a position would assume a major role in structuring, negotiating, documenting and supervising outside counsel on transactions. The lawyer will have a seat at the table: it is an important element of EFS risk management that functional roles such as lawyers are embedded in the deal team, and their voices are heard on a range of issues that are broader than would typically be expected from an outside counsel.

Evaluates situations using multiple sources of information.

Supervision and management of outside counsel as needed
