Assistant General Counsel

Primary Duties and Responsibilities: 

·        Assist the legal department in providing legal counsel and advice to AgCountry personnel.  Develop and maintain in-depth knowledge of the Farm Credit Act, FCA Regulations, Uniform Commercial Code, Electronic Funds Transfer Act, Truth in Lending Act, RESPA, and Regulation Z; the Home Mortgage Disclosure Act and Regulation C; Fair Credit Reporting Act and Regulation V; the Equal Credit Opportunity Act and Regulation B; SAFE Act; UDAAP, and other applicable State and Federal laws and regulations.

·        Review and assist in the development of AgCountry policies, procedures, projects and documentation.  Prepare legal opinions and memoranda.  Negotiate, draft and/or interpret various contractual arrangements and other legal documents.  Develop standardized business forms, processes and procedures. Work with the lending staff to ensure accuracy of legal forms, loan covenant language for various issues, inter-creditor agreements, and participation agreements and associated documents.

·        Provide focused and specialized legal support to the producer credit, agribusiness, capital markets, and consumer lending functions.  Development and oversight of AgCountry loan, collateral (real and personal property) and related legal documentation.  Provide general guidance and oversight over all legal aspects of the lending function.  Work closely with agribusiness lending and credit staff in providing full-service legal support on agribusiness loans including complex multi-lender participations and syndications.  Provide full-service legal support to credit staff.  Provide ongoing legal training and support to AgCountry personnel on loan documentation issues. Provide ongoing legal support related to consuming lending and compliance related matters.

·        Provide legal support to the special credit department and monitor corporate litigation activities.  Prepare pleadings, correspondence, settlement agreements, stipulations and other legal documents as needed in litigated matters.  Represent AgCountry when negotiations are required and maintain open, constructive communication with all parties involved. 

·        Monitor and promote regulatory compliance.  Effectively resolve legal and regulatory issues confronting the association.  Ensure AgCountry adheres to all relevant laws and regulations, including without limitation borrower rights, eligibility, and consumer lending.  Review borrower corporate documents, by-laws, and minutes for legal and regulatory compliance.  Advise departments on regulatory compliance or legal changes, review and update of procedures and training materials.

Required Qualifications:

·        Undergraduate degree and a law degree from an ABA accredited law school.

·        3 or more years of private practice and/or corporate legal experience.

·        Significant background and experience in agricultural and commercial lending transactions.

·        Ability to work effectively in a team environment.

·        Excellent interpersonal, problem-solving, analytical and organizational skills.

·        Strong verbal and written communication skills.

·        Basic understanding of agriculture and agricultural issues.
